INTERCONNECTION AGREEMENT

(including rights set forth in any tariff provisions incorporated by
reference below), Transporter shall have the option to retain Positive
Imbalances arising under this Agreement free and clear of any claims by any
adverse party including Operator, in exchange for payment by Transporter to
Operator of an amount equal to the product obtained by multiplying the
quantities retained by the Positive Imbalance Cash-out Price set forth in
Transporterþs tariff.
ARTICLE VI
INCORPORATION OF TARIFF PROVISIONS
(A) The provisions of Transporterþs effective FERC Gas Tariff
applicable to the relationship between Transporter and Operator, and any
revisions thereof that may be made effective hereafter, are hereby made
applicable to and part hereof by reference. Without limitation of the
foregoing, such tariff provisions include the definitions therein and the
provisions regarding gas quality, measurement, measurement equipment,
possession of gas and responsibility, warranty of title, force majeure and
remedies, nominating and scheduling services, unauthorized tenders and
receipts, and gas industry standards.
ARTICLE VII
MISCELLANEOUS
(A) No change, modification or alteration of this Agreement shall be
or become effective until executed in writing by the parties hereto, and no
course of dealing between the parties shall be construed to alter the terms
hereof, except as expressly stated herein.
(B) No waiver by any party of any one or more defaults by the other
in the performance of any provisions of this Agreement shall operate or be
construed as a waiver of any other default or defaults, whether of a like or
of a different character.
