FORM OF UNDERGROUND STORAGE SERVICE AGREEMENT

(Rate Schedule SS-2 -- 150 Day Service)

THIS AGREEMENT made as of the ____ day of ________________, 19__, by

and between National Fuel Gas Supply Corporation, a Pennsylvania corporation

having its office and principal place of business at 6363 Main Street,

Williamsville, New York 14221, hereinafter called "Transporter" and

______________________________, a corporation having its principal place of

business at _____________________________________, hereinafter called

"Buyer".

WITNESSETH: That in consideration of the mutual covenants herein

contained, the parties hereto agree that on the terms and conditions

hereinafter provided and subject to the terms of Transporter's Rate Schedule

SS-2 and all the General Terms and Conditions contained in Transporter's FERC

Gas Tariff and any revisions thereof that may be made effective hereafter,

such Rate Schedule and General Terms and Conditions being hereby incorporated

by reference:

ARTICLE I

Character of Service and Volumes

Transporter agrees to (a) transport or cause gas to be transported for

Buyer from the delivery point set forth in Article IV hereof, (b) store or

cause gas to be stored and (c) transport or cause gas to be transported to

the delivery point set forth in Article IV hereof, as provided herein, and

Buyer agrees to engage Transporter to transport and store, and to pay

therefor, volumes of natural gas as follows:

(i) Annual Storage Volume

The Annual Storage Volume applicable under this agreement is ___________

(ii) Maximum Daily Injection Volume

From the commencement of the first contract year and continuing for the

remaining term of this agreement the Maximum Daily Injection Volume for the

period commencing with the first injection of Buyer's gas for storage

hereunder and continuing for the remaining term of this agreement will be
