1/ The underlying service agreement contains no material deviations from the pro forma service agreement in Transporter's tariff.

2/ During the term of Amendment No. I and for transportation along the primary path, the reservation rate is $0.000 per Dth and the commodity

rate is $0.07000 per Dth. In addition to these rates, Shipper shall pay all applicable surcharges. Transporter shall retain maximum Fuel

and Company Use (FCU) retention except that Transporter shall retain 0.25% FCU on transportation from the primary receipt point to the

primary delivery point and maximum Transportation Lost and Unaccounted For (LAUF) retention allowance on transportation from the primary

receipt point to the primary delivery point. For secondary transportation, the commodity rate of $0.07000 per Dth, reservation rate of

$1.4235, and the maximum FCU will apply. In the event Shipper releases its firm transportation rights, Shipper shall be credited the

commodity charged billed to the replacement shipper and Transporter shall retain the difference, if any, between the amount paid by the

replacement shipper and amount credited to Shipper.

3/ The term of Amendment No. I is December 1, 2008 through May 31, 2009.

4/ No other agreement, understanding, negotiation or consideration is linked to the agreement or Amendment No. I.

5/ Service Agreement F11399 and Amendment Nos. I and II were filed with the Commission on November 18, 2008 in Docket No. RP96-331-019.
