PRELIMINARY STATEMENT

National Fuel Gas Supply Corporation, a Pennsylvania corporation, is a

natural gas pipeline company principally engaged in the business of

storing and transporting natural gas in interstate commerce, under

authorization granted by and subject to the jurisdiction of the Federal

Energy Regulatory Commission. Its main pipeline system extends in a

northerly and northeasterly direction from the extreme southwestern

corner of Pennsylvania through Pennsylvania to the Canadian boundary of

New York and easterly to Potter County, Pennsylvania and Steuben County,

New York.
