FORM OF SERVICE AGREEMENT

(For Service Under Rate Schedules CQS-1)

This Agreement is made as of ________________, 19___, by and between

Pacific Interstate Transmission Company, hereinafter referred to as "Seller"

and ___________________________________________ a __________________________,

hereinafter referred to as "Buyer".

NOW, THEREFORE, in consideration of their respective covenants and

agreements hereinafter set out, the parties hereto covenant and agree as

follows:

ARTICLE I--BASIC DELIVERIES

Seller agrees to tender for sale and delivery to Buyer, and Buyer

agrees to take-or-pay for as hereinafter provided the following quantities of

gas:

ARTICLE 2--PAYMENTS

Buyer shall make payments to Seller in accordance with the Rate

Schedules and other applicable terms and provisions of this Agreement.

ARTICLE 3--CHANGE IN TARIFF PROVISIONS

Upon notice to Buyer, Seller shall have the right to file with the

Federal Energy Regulatory Commission any changes in the terms of any of its

Rate Schedules, General Terms and Conditions or Form of Service Agreement as

Seller may deem necessary, and to make such changes effective at such times

as Seller desires before the Federal Energy Regulatory Commission, and

exercise any other rights it may have with respect thereto.

ARTICLE 4--TERM

This Agreement shall become effective on _____________________, 19___,

and shall continue in effect until _________________________, 19___ and

hereafter unless and until terminated by Buyer by written notice given to

Seller at least eighteen months prior to the date of termination specified in

such notice, which date shall not be earlier than ____________________, 19___,

and shall be the last day of a calendar year.
