FORM OF SERVICE AGREEMENT

RATE SCHEDULE IT-1

CONTRACT NO. _____________________

THIS AGREEMENT, is made and entered into as of the ___________ day

of _________________________, 19_________, by and between:

PHILLIPS GAS PIPELINE COMPANY, (hereinafter

called "PGPL"), a Delaware Corporation,

and

____________________________

(hereinafter called "Shipper"),

WHEREAS, PGPL is an interstate pipeline company, and gas transported

hereunder for Shipper will be delivered to Phillips Texas Border Pipeline

Company ("PNG"), a Hinshaw pipeline and "local distribution company" as

defined in the Natural Gas Policy Act of 1978 ("NGPA") eligible to receive

transportation services under Section 311 of the NGPA;

WHEREAS, Shipper desires to receive interruptible transportation service

from PGPL and PGPL desires to provide such transportation at conditions

which are subject to PGPL's Rate Schedule IT-1;

NOW THEREFORE, in consideration of the mutual convenants and

agreements as herein set forth, the parties agree as follows:

ARTICLE 1 - TRANSPORTATION

1.1 PGPL agrees to receive at the Point(s) of Receipt and redeliver at the

Point(s) of Redelivery, on a fully interruptible basis, quantities of

natural gas up to the following daily quantities (MMBtu/day), which

shall constitute the Interruptible Transportation Quantity:
