PRELIMINARY STATEMENT

Phillips Gas Pipeline Company ("PGPL") is a natural gas company which owns

and operates a pipeline system, the principal purpose of which is to transport

natural gas from producing areas in Oklahoma to the facilities of Seagas

Pipeline Company ("Seagas") in Texas.

PGPL extends from points of interconnection with other pipeline facilities

near Cushing, Oklahoma to a point of interconnection with the facilities of

Seagas approximately one mile south of the Texas-Oklahoma border northeast

of Denison, Texas.

PGPL will perform contract transportation service only under written service

agreements after consideration of its commitments to others, delivery capacity

and other pertinent factors.
