4.19 Agents. Shipper must provide written notice to Transporter of the
name, and any other pertinent information of another person
("Agent") that has agency authority to act for Shipper pursuant to
an Agreement under Rate Schedule FT and/or IT (as applicable), in
connection with (1) the operation of pipelines, facilities and
wells in connection with an Agreement under this rate schedule,
(2) Operational Flow Orders and Imbalance Management as discussed
in Sections 11.1 and 10, respectively, of the General Terms and
Conditions of this Tariff and/or (3) other matters covered by an
Agreement. If the Agent has authority under (1) and (2) above,
operating notices shall be served on the Agent alone. When using
an Agent, the Shipper remains bound by its obligations under an
Agreement. Further, commitments made by the Agent on behalf of
the Shipper are binding on the Shipper as if made by the Shipper.
The Shipper must provide prompt written notice of the termination
of the agency.
4.20 Governmental Authorization. Each Party's obligations under an
Agreement incorporating these General Terms and Conditions are
conditioned upon each Party obtaining from governmental
authorities having jurisdiction such authorization as may be
necessary, in form and substance satisfactory to the Party
applying therefor. Neither Transporter nor Shipper shall be
required to accept any authorization which, in the opinion of the
Party applying for same, contravenes, nullifies, or is contrary to
any provisions hereof or of any provision of the Transportation
Service Agreement.
