(5) Alternate Index. If for any month one or more of the published gas price indices ("Original Index") referenced above is not published for any reason, then

subject to the provisions of footnote 3(6) below regarding the possible application of the Forward Spread Rate Option, the corresponding Alternate Index

designated below shall be used for purposes of calculating the applicable Negotiated Reservation Rate for such month:

NGPL Midcontinent Index Arithmetic average of the following component indices, published in Inside FERC's Gas Market Monthly Report

for: ANR - Oklahoma less $0.02; and Panhandle Eastern - Oklahoma less $0.01.

NGPL South Texas Index Arithmetic average of the following component indices, published in Inside FERC's Gas Market Monthly Report

for: Tennessee Zone O; Texas Eastern - South Texas Zone and Transco Zone 1.

For any month in which one or more of the component indices used to calculate an Alternate Index is not published for any reason, then the Alternate

Index shall be calculated using the arithmetic average of the remaining relevant component indices that are published for such month. For any month in

which none of the relevant component indices is published for the Original Index or the applicable Alternate Index, then Natural and Shipper shall agree

to use an appropriate alternate index for such month, which meets all applicable FERC requirements for permissible price indices.
