1/ The Negotiated Rate Agreement with Shipper does not deviate in any material respect from the applicable form of service agreement in Natural's FERC Gas Tariff.

2/ The Negotiated Rate Agreement shall be effective for a term of ten (10) years from the later of: (i) June 1, 2002; or (ii) the date of initial commercial

operation of Natural's proposed lateral; provided, however, that in no event shall the term commence prior to June 1, 2002.

3/ Negotiated Storage Quantity. The Negotiated Rates shall apply only to a total aggregate maximum daily storage quantity of ten thousand (10,000) Dth per day on

the Gulf Coast Leg, for all quantities stored under the Rate Schedule NSS Agreement and any associated capacity release replacement agreements. Any quantities

stored in excess of the Negotiated Storage Quantity shall be billed at all applicable maximum rates, charges, and surcharges set forth in Natural's FERC Gas

Tariff.

4/ All applicable maximum commodity rates, charges, and surcharges shall apply to storage service provided by Natural to Shipper under the Rate Schedule NSS

Agreement, unless otherwise expressly provided herein.

5/ Other Provisions:

Authorized Overrun Service. All Authorized Overrun Service provided to Shipper under the Rate Schedule NSS Agreement shall be billed at the applicable maximum

Authorized Overrun Rate set forth in Natural's FERC Gas Tariff, as may be revised from time to time.

Storage Fuel. In addition to the Negotiated Rates, Shipper shall be charged for Storage Fuel in accordance with the applicable provisions of Natural's FERC

Gas Tariff, as may be revised from time to time.

Surcharges. The Negotiated Rates reflect an initial discount of all GRI reservation and commodity surcharges otherwise payable by Shipper; provided, however,

that in the event Natural is required to collect such GRI Surcharges from Shipper and to pay such GRI Surcharges to the FERC or to any third party, then

Shipper shall pay Natural any such amounts billed by Natural in addition to the Negotiated Rates.

Applicable Maximum Rates, Charges, and Surcharges. Unless otherwise expressly provided herein, all applicable maximum rates, charges, and penalties of any

nature set forth in Natural's FERC Gas Tariff shall apply to service provided to Shipper under the Rate Schedule NSS Agreement, including without limitation

all applicable ACA surcharges.

6/ The Receipt Points for injection and the Delivery Points for withdrawal under the NSS service agreement shall be the storage points as defined in the General

Terms and Conditions of Natural's FERC Gas Tariff.
