1/ The Negotiated Rate Agreement with Shipper does not deviate in any material respect from the applicable form of service agreement in Natural's FERC Gas

Tariff.

2/ Negotiated Rate Term. The negotiated rates set forth herein shall be in force during a term commencing on the latter of: (i) April 1, 2006; or (ii) the

date capacity to provide the service hereunder is available on Natural's System; through March 31, 2011.

3/ Storage Agreement. The Negotiated Rates set forth herein shall apply to storage service provided by Natural to Shipper under Rate Schedule NSS with a

Maximum Storage Volume (MSV) of Three Million (3,000,000) Dth and an MDQ of Forty Thousand (40,000) Dth/d on the Amarillo Leg 100% (the "Storage Agreement"),

except for Suez Energy Marketing NA, Inc., which has a Maximum Storage Volume (MSV) of Three Million Nine Hundred Ninety Nine Thousand Nine Hundred Seventy

Five (3,999,975) Dth and an MDQ of Fifty Three Thousand Three Hundred Thirty Three (53,333) Dth/day on the Amarillo Leg 100%.

4/ Negotiated Monthly Reservation Rate. The Negotiated Monthly Reservation Rate per Dth of MDQ (Peak and Off-Peak periods) shall apply only to service provided

by Natural to Shipper under the Rate Schedule NSS Agreement, subject to all other terms and conditions set forth herein.

5/ Commodity Rate. All applicable maximum commodity rates, charges and surcharges set forth in Natural's FERC Gas Tariff, as may be revised from time to time,

shall apply to storage service provided by Natural to Shipper under the Rate Schedule NSS Agreement, unless otherwise expressly provided herein.

6/ Negotiated Rates.

(a) Authorized Overrun Service. All Authorized Overrun Service provided to Shipper under the Storage Agreement shall be billed at the applicable maximum

Authorized Overrun Rate as set forth in Natural's FERC Gas Tariff, as may be revised from time to time.
