FORM OF SERVICE AGREEMENT

APPLICABLE TO RATE SCHEDULE PAL-1 (Continued)

8. Term of Agreement. This Service Agreement shall continue in full

force and effect for a primary term beginning on (specific date or

triggering event) ___________________ and ending on (specific date or

term) ________________ and from month to month thereafter. Either Party

may terminate this Service Agreement after the primary term upon thirty

(30) days written notice to the other Party pursuant to the provisions

of Transporter's FERC Gas Tariff, Second Revised Volume No. 1 or other

applicable authority.
