PRELIMINARY STATEMENT

Williston Basin Interstate Pipeline Company ("Williston Basin") is a

natural gas company engaged in the business of gathering, storing,

transporting, and selling natural gas in interstate commerce in the states of

Montana, North Dakota, South Dakota and Wyoming, subject to the provisions of

the Natural Gas Act and the Federal Energy Regulatory Commission's Regulations

thereunder. The Company gathers, stores and transports natural gas for the

following parties including, but not limited to, local distribution utilities,

other interstate natural gas pipeline companies, natural gas marketers,

producers, end users and other shippers.
