Form of Service Agreement for Rate Schedule FT

ARTICLE X

LAWS AND REGULATION

This Agreement is subject to all valid legislation,

either state or federal, with respect to the subject matter

and to all valid present and future decisions, orders, rules

and regulations of all duly constituted governmental

authorities having jurisdiction, and nothing in this

Agreement shall restrict, enlarge or affect in any other way

the jurisdiction of the FERC over the subject matter.

ARTICLE XI

MISCELLANEOUS

11.1 HEADINGS. The headings set forth in this

Agreement are for reference purposes only and shall not

affect the meaning or interpretation of this Agreement.

11.2 APPLICABLE LAW. This Agreement shall be governed

by and interpreted in accordance with the laws of the

state of _____________.

11.3 COUNTERPARTS. This Agreement may be executed in

any number of counterparts, each of which shall be

deemed an original, but all of which together shall

constitute but one and the same instrument.

11.4 CANCELLATION OF PRIOR AGREEMENT. This Agreement

supersedes, cancels and terminates, as of the date of

this Agreement, the following agreements:
