delivered by telephone, facsimile, or WestGas

InterState's electronic system.

8. Acquiring Shipper hereby certifies that it has

or will have title to the gas delivered to WestGas

InterState for transportation and has entered into

or will enter into arrangements necessary to

assure all upstream and downstream transportation

will be in place prior to commencement of service.

IN WITNESS HEREOF, the parties have caused this Agreement

to be executed in two (2) original counterparts, by their duly

authorized officers, the day and year first set forth herein.
