PRELIMINARY STATEMENT

Kinder Morgan Interstate Gas Transmission LLC (KMIGT) is a "natural gas

company" under the definition of Section 2(6) of the Natural Gas Act and is

subject to the jurisdiction of the Commission. KMIGT's operations include the

exchange, transportation and storage of natural gas. KMIGT operates in the

states of Colorado, Kansas, Nebraska, Missouri, and Wyoming, performing one or

more of these functions.
