9. The Exhibit(s) identified above are incorporated by reference and

are a part of this Agreement. This Agreement constitutes the entire

Agreement between the parties and no oral waiver, representation or

agreement shall affect the subject matter hereof unless and until

such waiver, representation or agreement is reduced to writing and

executed by authorized representatives of the parties.

10. The laws of the State of ................ shall govern the validity,

construction, interpretation and effect of this Agreement,

excluding, however, the laws thereof governing the conflicts of law.
