FORM OF PAL SERVICE AGREEMENT (continued)

1.4 "Maximum Total Loan Quantity" means the maximum

quantity of Natural Gas, expressed in Dth, that

Transporter is obligated to Loan to Shipper from

time to time at each Loan Point specified in

Exhibit A to the executed Agreement.

ARTICLE 2

PARK AND LOAN SERVICE

2.1 Parking and/or Loan Service rendered hereunder

shall be interruptible service as provided in

Transporter's Rate Schedule PAL, and as described

in Section 2 of that Rate Schedule.

ARTICLE 3

PARKING POINT(S)

3.1 The Parking Point(s) at which Transporter shall

provide Parking Service under this Agreement shall

be as specified in Exhibit A to this Agreement.

ARTICLE 4

LOAN POINT(S)

4.1 The Loan Point(s) at which Transporter shall

provide Loan Service under this Agreement shall be

as specified in Exhibit A to this Agreement.

ARTICLE 5

TERM OF AGREEMENT

5.1 Subject to the General Terms and Conditions and

Rate Schedule PAL of Transporter's FERC Gas

Tariff, this Agreement shall be effective as of

_______ ______________ and shall continue for a

primary term through ________________________.

Thereafter, this Agreement shall be effective
