quantity of Natural Gas so received or delivered during
such period same is out of service or out of repair shall
be estimated and agreed upon by Transporter and Shipper
upon the basis of the best available data, using the
first of the following methods which is feasible:
(a) By using the registration of any check meter or
meters if installed and accurately registering, or
in the absence of (a);
(b) By correcting the error if the percentage of error
is ascertainable by calibration, special test or
mathematical calculation, or in the absence of both
(a) and (b) then;
(c) By estimating the quantity of receipt or delivery
based on receipts or deliveries during preceding
periods under similar conditions during which the
meter was registering accurately.
3.9 Preservation of Records. Both Transporter and Shipper
shall preserve for a period of at least three (3) Years,
or such other period as may be required by governmental
authority, all test data, charts and other similar
records.
3.10 New Techniques and Devices. Transporter and Shipper
intend to use the most accurate feasible measurement
techniques and devices available. When newer techniques
or devices become generally accepted in the industry and
can be utilized economically in connection with the
measurement of Natural Gas hereunder, it is agreed that
same shall be considered in updating the provisions of
this Section 3 to utilize such measurement techniques and
devices.
3.11 Measurement Data. For purposes of calculating and
rendering bills, Transporter will close its measurement
data as to each Month on the fifth (5th) Business Day of
the following Month. Transporter will estimate missing
or late measurement data using data provided by the
measuring party. Transporter will treat the actual
quantity as a prior period adjustment. Any adjustment
after such fifth (5th) Business Day of the Month will be
processed as a prior period adjustment. Transporter
reports prior period adjustments with the restated line
item with a new total quantity for the Day and the
billing Month.
