4. RATE

4.1 The rate to be charged by Transporter for all Natural Gas

delivered to Transporter under this Rate Schedule ITS

shall not be in excess of the Maximum Rate nor less than

the Minimum Rate. The currently effective Maximum and

Minimum ITS Rates are set forth on the Schedule of

Currently Effective Rates at Sheet No. 13 of

Transporter's FERC Gas Tariff, of which this Rate

Schedule ITS is part and is hereby incorporated herein.

Transporter shall not be required to provide any

requested transportation service if Shipper is unwilling

to pay the Maximum ITS Rate applicable to service under

this Rate Schedule ITS.

4.2 Unless Transporter notifies Shipper to the contrary, the

applicable rate shall be the Maximum ITS Rate.

Transporter may from time to time and at any time

selectively adjust, on a non-discriminatory basis, the

rate to be charged to any Shipper pursuant to Section

4.1. In addition, Transporter may from time to time and

at any time selectively adjust, on a non-discriminatory

basis, the level of costs to be reimbursed by any Shipper

pursuant to Section 4.4(c) (provided that such

adjustments shall not result in the allocation of costs

to other services). Any adjusted rate shall not exceed

the currently effective Maximum ITS Rate nor be less than

the currently effective Minimum ITS Rate. If Transporter

adjusts the rates charged to any Shipper under this

Section 4.2, Transporter shall file all required reports

with the Federal Energy Regulatory Commission.

The Maximum ITS Rate shall be adjusted each April 1 and

October 1 to reflect changes in the demand component of

the Maximum ITS Rate. Thirty (30) Days prior to each

such adjustment, Transporter shall make an informational

filing with the FERC showing the derivation of the

updated Maximum ITS Rate. Such
