ARTICLE VII

INTERPRETATION

THIS AGREEMENT, AND THE RIGHTS AND OBLIGATIONS OF THE PARTIES HERETO, SHALL BE CONSTRUED,

INTERPRETED AND GOVERNED IN ACCORDANCE WITH THE LAWS OF THE STATE OF OKLAHOMA, EXCLUDING

ANY CONFLICT OR CHOICE OF LAW RULES OR PRINCIPLES WHICH, IF APPLIED, MIGHT PERMIT OR REQUIRE

THE APPLICATION OF THE LAWS OF ANOTHER JURISDICTION.

ARTICLE VIII

ENTIRETY

This Agreement, including attached Exhibits A and B, contains the entire agreement of the

Parties with respect to the matters addressed herein. No modification of the terms and

provisions of this Agreement shall be or become effective except by the execution of a

written instrument by the Parties.
