construct, acquire, or expand such facilities, then Western

shall notify Shipper of the additional costs required. Subject

to agreement and approval by Western and Shipper of the cost to

be reimbursed by Shipper and subject to receipt and acceptance

by Western of any necessary authorization, permits and

approvals, such facilities shall be constructed, acquired or

expanded to permit the receipt and delivery of gas as provided

for herein. The parties agree that the term "cost", as used

herein, refers to the same costs as are set forth in Section

5.3(f) of Rate Schedule FT-___, as the same may be changed from

time to time. Western shall have title to and the exclusive

right to operate and maintain all such facilities.

ARTICLE VII

Regulatory Authorizations and Approvals

7.1 Western's obligation to provide service is conditioned upon

receipt and acceptance of any necessary regulatory

authorization(s) to provide Firm Transportation Service to

Shipper in accordance with the terms of Rate Schedule FT-___ and
