ARTICLE III

Term of Agreement and

Commencement of Service

3.1 This Agreement shall be effective on the date first written

above. This agreement shall continue in full force and effect

for a term ending ___________, and from year to year thereafter

until terminated either by Western or Shipper upon 180 days

prior written notice to the other specifying a termination date

at the end of such period or any yearly period thereafter.

ARTICLE IV

Receipt Point(s) and Delivery Point(s)

and Maximum Daily Quantities

4.1 The Receipt Point(s) and Maximum Daily Quantity for each point,

for all gas delivered by Shipper into Western's pipeline system

under this Agreement shall be at the Primary Receipt Point(s) on

Western's pipeline system as set forth in Exhibit A and the

Alternate Receipt Point(s) as set forth in Exhibit C attached
