NO-NOTICE FIRM TRANSPORTATION SERVICE

1. AVAILABILITY:

This Rate Schedule is available for no-notice transportation

of natural gas on a firm basis by Western Gas Interstate

Company (hereinafter called "Western") for any party

(hereinafter called "Shipper"), under the following

conditions:

(a) Shipper was a Rate Schedule CD-N firm sales customer of

Western on May 18, 1992, receiving bundled, no-notice

city-gate service; and Shipper converted its firm sales

service to an equivalent amount of unbundled firm

transportation service under Rate Schedule FT-N;

(b) Shipper submitted a valid request for No-Notice Firm

Transportation (NFT) service as set forth in Section 2.1

of this Rate Schedule;

(c) Shipper has executed a NFT Service Agreement for

No-Notice Firm Transportation service under this Rate

Schedule and a FT-N Service Agreement for firm

transportation service under Rate Schedule FT-N; and

(d) Shipper has title to, or the good right to deliver the

gas to Western for transportation under this Rate

Schedule.

2. APPLICABILITY AND CHARACTER OF SERVICE:

2.1 Any Shipper entitled to No-Notice Firm Transportation

(NFT) service under Section 1(a) of this Rate Schedule shall

have a one-time right to request such service by submitting a

written request to Western within 60 days of the date

Western's restructuring pursuant to Docket No. RS92-53-000

becomes effective, setting forth the quantity of NFT service

desired. Such quantity may not exceed the level of firm sales

service to which Buyer was entitled under Rate Schedule CD-N

on May 18, 1992, or the MDTQ set forth in Shipper's currently

effective FT-N Service Agreement.
