RATE SCHEDULE IT-DN

INTERRUPTIBLE TRANSPORTATION SERVICE - DEL NORTE DIVISION

1. AVAILABILITY:

1.1 This Rate Schedule is available for transportation of

natural gas on a interruptible basis by Western Gas

Interstate Company (hereinafter called "Western") in

Western's Del Norte Division for any party (hereinafter

called "Shipper"), under the following conditions:

(a) Shipper makes a valid request for service under

Section 3.1 of this Rate Schedule;

(b) Shipper has executed an IT-DN Service Agreement for

interruptible transportation service under this Rate

Schedule;

(c) Shipper has title to, or the good right to deliver the

gas to Western for transportation under this Rate

Schedule.

1.2 Western will make transportation hereunder available on a

first-come, first-served basis to any Shipper willing and

able to pay the maximum rates hereunder and in accordance

with the General Terms and Conditions governing service

hereunder as set forth from time to time in Western's FERC

Gas Tariff.

1.3 Western shall in no event be required to grant a request

for transportation hereunder if:

(a) providing service interferes with the integrity of

Western's system or with service to firm

transportation customers;

(b) Western is required to construct, modify, expand or

acquire facilities to render the service; or

(c) Shipper does not provide Western with all of the

information required by Section 3 of this Rate

Schedule and Section 20 of the General Terms and

Conditions of Western's FERC Gas Tariff.
