FORM OF SERVICE AGREEMENT

FOR FIRM TRANSPORTATION SERVICE

Western's and Shipper's obligations hereunder shall be

subject to the provisions of any final FERC order

determining an allocation of capacity of Western's gas

pipeline transmission system.

ARTICLE II

Rate Schedule

2.1 Upon the commencement of service hereunder,

Shipper shall pay Western, for all service rendered

hereunder, the rates established under Western's Rate

Schedule FT-___ as filed with the FERC and as said Rate

Schedule may hereafter be legally amended or superseded.

2.2 This Agreement in all respects shall be and remain

subject to the provisions of said Rate Schedule and of the

applicable provisions of the General Terms and Conditions of

Western on file with the FERC (as the same may hereafter be

legally amended or superseded), all of which are made a part

hereof by this reference. Certain of the General Terms and

Conditions are to be adjusted for the purpose of this

Agreement, and the adjustments are set forth in Article IX

of this Agreement. [This last sentence is included only if

applicable.]
