RATE SCHEDULE GSS-N

MARKET-BASED GAS SALES SERVICE

1. AVAILABILITY:

This Rate Schedule is available for the purchase from

Western Gas Interstate Company (hereinafter called

"Western") of natural gas at Western's facilities by

any purchaser (hereinafter called "Buyer") where:

(a) Sufficient gas supply exists to provide such

service;

(b) Buyer takes delivery of gas at such delivery

points as may be agreed to from time to time and

set out in the Service Agreement between Buyer and

Western; and

(c) Buyer has an executed Service Agreement with

Western for service under this Rate Schedule.

2. APPLICABILITY AND CHARACTER OF SERVICE:

This Rate Schedule shall apply to gas delivered under

the executed Service Agreement for Service under this

Rate Schedule, and shall be subject to the terms of

this Rate schedule, the Service Agreement, and the

General Terms and Conditions of Western's FERC Gas

Tariff. Except for the adjustments to the General

Terms and Conditions contained in the Service

Agreement, if there are any inconsistencies or

conflicts between this Rate Schedule, the Service

Agreement, and the General Terms and Conditions, the

General Terms and Conditions shall prevail.

Gas sales service rendered under this Rate Schedule

shall consist solely of unbundled sales service in

accordance with Seller's blanket sales certificate.

The priority and other conditions of this gas sales

service shall be those agreed to by Seller and Buyer

and described in the Service Agreement.
