PRELIMINARY STATEMENT

Western Gas Interstate Company ("Western") is a natural

gas company engaged in the business of providing sales and

transportation service to natural gas distribution companies

and other customers. Western's system in the panhandles of

Texas and Oklahoma consists of its West Transmission Line

which extends from Etter, Moore County, Texas, to Boise

City, Cimarron County, Oklahoma, and its East Transmission

Line which extends from an interconnection 6 miles East of

Kerrick, Dallam County, Texas to Texhoma, Sherman County,

Texas, to the Town of Beaver, Beaver County, Oklahoma, and

various facilities in and around Borger, Texas (Northern

Division). Western purchases gas for its panhandle

facilities from producers in the Hugoton and Panhandle

Fields and from interstate pipeline companies.
