ARTICLE VI - TERM OF AGREEMENT
This Agreement shall be effective upon execution. However, Firm Transportation service under
this Agreement shall commence on the first day of the month (the "Commencement Date") following
completion of construction of all facilities required by Midwestern to provide service to
Minnegasco or receipt of notice from the Joint Venture that the new pipeline providing service
from the Delivery Point to Minnegasco is operational, whichever is later. This Agreement shall
continue in force and effect for ten years after commencement of service hereunder, and from year
to year thereafter unless terminated by either party upon l2 months' notice.
ARTICLE VII - PRICE
1. The rates and charges for service under this rate schedule shall be the Transportation
Quantity Rate, and any new Facilities Charge, Incidental Charge, and Imbalance Charge, if
applicable, all as specified in Sections 5.2, 5.3, 5.4 and 5.5 of Rate Schedule FT-2.
(a) Fuel and Losses
Minnegasco shall daily provide to Midwestern, at no cost to Midwestern, the quantity
of gas required for Midwestern's system fuel and uses and for gas lost and
unaccounted for, associated with rendering transportation service pursuant to this
Rate Schedule. The Fuel and Use Quantity shall be determined by the mileage block
of the Transportation Service and the season as follows: .37% per 100 Dth miles
during the Winter Season or .33% per 100 Dth miles during the Summer Season. The
quantity of gas lost and unaccounted for shall be 0.0%; provided, however, for
service that is rendered entirely by displacement, Minnegasco shall provide only
that quantity of gas equal to 0.0% of the quantity of natural gas tendered for
transportation at any Receipt Point, for lost and unaccounted for quantities. To
the extent that Minnegasco fails to tender an adequate quantity of gas pursuant to
this Article VII, then the quantity of gas required for Midwestern's system fuel and
uses and gas lost and unaccounted for shall be calculated on the basis of the
quantity of gas delivered by Midwestern at any Delivery Point.
(b) The rates specified above will be in effect until replaced or superseded by some
other legally effective rates applicable to the transportation service provided for
herein. Midwestern shall have the unilateral right to file with the appropriate
regulatory authority and make changes effective in (a) the rates and charges
contained in Midwestern's FERC Rate Schedules applicable to this service and/or (b)
the terms and conditions of those Rate Schedules, and/or (c) any provisions of the
General Terms and Conditions in Midwestern's FERC Gas Tariff which are incorporated
into those Rate Schedules. Midwestern's filing and making effective the changes
referred to in the preceding sentence shall have the effect of making the same
