DISCOUNTED RATE AGREEMENT

Shipper and Company agree to a discounted rate in accordance with Subsection

5.2 of Rate Schedule FT-A and Section 17 of the General Terms and Conditions of

Company's FERC Gas Tariff and agree that Shipper will be billed and pay the charges

specified below for the period commencing ________________, 20__ and continuing

until and including _______________, 20__. Except as specified below, Shipper

shall pay all other applicable charges pursuant to the Company's FERC Gas Tariff, as

revised from time to time. Shipper acknowledges that the changes designated on this Exhibit

C are the only changes to its obligation to otherwise pay charges for Rate Schedule

FT-A service in accordance with the general Statement of Rates contained in the

Company's FERC Gas Tariff, as revised from time to time.
