PRELIMINARY STATEMENT

Viking Gas Transmission Company (Company) is a natural gas transmission company engaged in

the business of transporting natural gas in interstate commerce. Company's transmission

system extends in a southeasterly direction from the International Boundary at an

interconnection with TransCanada PipeLines Limited near Emerson, Manitoba, Canada, through

the States of Minnesota and Wisconsin to its terminus at Marshfield, Wisconsin.
