OPERATIONAL BALANCING AGREEMENT

GULF SOUTH PIPELINE COMPANY LP

And

WHEREAS, the facilities operated by _________________________

("______________________") and by Gulf South Pipeline Company LP ("Gulf

South") interconnect at the Interconnection Point specified on Exhibit 1

attached hereto:

WHEREAS, Gulf South and ______________ have entered into one or more

transportation agreements whereby both Gulf South and ______________ either

receive gas which shippers cause to be delivered at the Interconnection Point

or deliver gas by displacement only which shippers cause to be received at the

Interconnection Point;

WHEREAS, from time to time, gas quantities delivered to or by Gulf South

or ___________ at the Interconnection Point which are either greater than or

lesser than the quantities nominated by shippers and confirmed by Gulf South

and ___________, have resulted in inadvertent over-or-under deliveries

relative to the shippers' nominated quantities;

WHEREAS, Gulf South and ____________ desire to correct the Operational

Imbalances due to over-or-under deliveries in cash, unless the parties

mutually agree otherwise;
