Section 31

31. ASSIGNMENTS

Any entity which shall succeed by purchase, merger or consolidation to

the properties, substantially as an entirety, of Gulf South or Customer,

shall, if eligible, succeed to the rights and obligations of its

predecessor in title under a service agreement. Either party may pledge

a service agreement under the provisions of any mortgage, deed of trust,

indenture, or similar instrument which it has executed or may execute

hereafter covering substantially all of its properties; otherwise,

neither party shall assign a service agreement or any of its rights or

obligations thereunder without the consent in writing of the other party

which consent shall not be unreasonably withheld. Upon assignment, the

rights and obligations of the parties under a service agreement shall be

binding upon the successors and assigns of those parties.
