PRELIMINARY STATEMENT

Gulf South Pipeline Company LP, (hereinafter called "Gulf South",

or "Pipeline" or "Seller" or "Transporter"), is a "natural gas company"

as defined by the Natural Gas Act (52 Stat. 821, 15 U.S.C. 717-717n)

and, as such, is subject to the jurisdiction of the Federal Energy

Regulatory Commission, (hereinafter referred to as "FERC" or

"Commission"). Gulf South's pipeline system extends from southern Texas

to western Florida, with extensive facilities throughout eastern Texas,

Louisiana, central and southern Mississippi, and southern Alabama.

Gulf South is an open-access transporter providing FERC authorized

transportation services to qualified shippers. Gulf South is engaged in

the sale of gas under Subpart J of Part 284 of the FERC's Regulations.

Gulf South specifically disclaims any undertaking on its part to provide

service as a common or public carrier.

This FERC Gas Tariff is filed in compliance with Part 154, Chapter

1, Title 18, of the Code of Federal Regulations.
