FIRM TERMINAL SERVICE

FORM OF SERVICE AGREEMENT

THIS AGREEMENT is made effective as of the ______ day of

_________________________, _______, by and between:

TRUNKLINE LNG COMPANY, LLC, (hereinafter called "TLNG"), a

Delaware Limited Liability Company,

and

(hereinafter called "Shipper").

Shipper represents and warrants that Shipper conforms to the

requirements of 18 C.F.R.

Section 284.102 (284B - Intrastate Pipelines or

Local Distribution Companies) ______

Section 284.221 (284G - Interstate Pipelines and Others) ______

In consideration of the mutual covenants and agreements as herein set

forth, both TLNG and Shipper covenant and agree as follows:

ARTICLE 1 - SERVICE

TLNG agrees to receive, store LNG and deliver on a firm basis

utilizing the Base Facilities of TLNG's Terminal up to the Maximum

Contract Storage Capacity as set forth below. Stored LNG Volumes are to

be withdrawn from storage and delivered to Shipper, at any pressure

required by Shipper up to and including 1261 psig, pursuant to the terms

and conditions of this Service Agreement and as set forth below.

Exhibit A hereto states the means by which LNG may be received and

delivered hereunder. Exhibit A may be revised from time to time by

written agreement between TLNG and Shipper and, as it may be revised, is

by this reference incorporated in its entirety into this Agreement and

made an integral part hereof.
