DELIVERY VARIANCE SERVICE

FORM OF SERVICE AGREEMENT

THIS AGREEMENT, is made effective as of the ______ day of

________________________, ______, by and between:

TRUNKLINE GAS COMPANY, LLC (hereinafter called "Trunkline"), a

Delaware Limited Liability Company,

and

(hereinafter called "DVS Party").

In consideration of the mutual covenants and agreements as herein set

forth, both Trunkline and DVS Party covenant and agree as follows:

ARTICLE 1 - SERVICE

1.1 Trunkline agrees to manage the daily scheduling variances at

a single Point of Delivery the Quantity set forth on Exhibit A on a

firm basis in accordance with Rate Schedule DVS.
