FORM OF SERVICE AGREEMENT

(For Use Under Seller's Rate Schedule SS-1 Section 7(C) Transportation Service)

THIS AGREEMENT entered into this ____________ day of _____________, _______ (year), by

and between TRANSCONTINENTAL GAS PIPE LINE COMPANY, LLC, a Delaware limited liability company,

hereinafter referred to as "Seller", first party, and

______________________________________________ hereinafter referred to as "Buyer", second party,

W I T N E S S E T H:

WHEREAS,

NOW, THEREFORE, Seller and Buyer agree as follows:

ARTICLE I

SERVICE TO BE RENDERED

Subject to the terms and provisions of this agreement and of Seller's Rate Schedule SS-1

Section 7(c) Transportation Service, Seller agrees to receive from Buyer for transportation and

deliver to Buyer quantities of natural gas to be injected or withdrawn by Seller (less fuel

allowance, if any) for Buyer under Rate Schedule SS-1 Section 7(C) Storage Service as follows:

To receive from Buyer for transportation and deliver during the

withdrawal season, at the receipt and delivery points set forth below, the gas

stored for Buyer's account under Seller's Rate Schedule SS-1 Section 7(c)

Storage Service up to a maximum quantity in any day of ______ dt, which

quantity shall be Buyer's Transportation Demand.

To receive from Buyer for transportation and deliver during the injection

season, at the receipt and delivery points set forth below, up to a total

quantity of _______ dt, which quantity shall be equal to Buyer's Storage

Capacity Quantity under Seller's Rate Schedule SS-1 Section 7(c) Storage

Service.

ARTICLE II

POINTS OF RECEIPT AND DELIVERY

The Point of Receipt for all natural gas received by Seller for transportation for Buyer's

account shall be at the interconnection of Dominion Transmission and Seller at Leidy located in

Potter County, Pennsylvania (Leidy) during the Withdrawal Season and during the Injection Season

ARTICLE III

DELIVERY PRESSURE

Buyer shall deliver natural gas to Seller at the Point of Receipt at such pressures as may be

available from time to time in Buyer's transportation line serving such point but not less than

1,000 pounds per square inch gauge.
