16.5 Exhibit A attached hereto is incorporated herein by reference and made a part

of this Agreement for all purposes.

16.6 This Agreement, as of the date hereof, shall supersede and cancel the Precedent

Agreement.

in multiple counterparts as of the date first hereinabove written.
