PRELIMINARY STATEMENT

Tennessee Gas Pipeline Company is a natural gas pipeline company principally engaged

in the business of transporting, and through a separately organized division of the

company, of selling natural gas in interstate commerce, under authorization granted by and

subject to the jurisdiction of the Federal Energy Regulatory Commission. Its main

pipeline system extends in a northeasterly direction from its sources of supply in Texas

and Louisiana through the states of Texas, Louisiana, Arkansas, Mississippi, Alabama,

Tennessee, Kentucky, West Virginia, Ohio, Pennsylvania, New York, New Jersey,

Massachusetts, New Hampshire, Rhode Island and Connecticut.
