LIQUEFIABLES TRANSPORTATION AGREEMENT

THIS AGREEMENT, made and entered into as of this _______ day of

_____________, ______, by and between Southern Natural Gas Company, a Delaware

general partnership, hereinafter referred to as "Company", and _________________________, a

_____________________ corporation, hereinafter referred to as "Shipper".

WITNESSETH

WHEREAS, Company has undertaken to provide open-access transportation service

under Part 284 of the Federal Energy Regulatory Commission's (Commission) Regulations;

and

WHEREAS, Shipper has requested the transportation of liquefiables by Company

pursuant to the terms of this Agreement for processing at the processing plant(a) specified

herein and has submitted to Company a request for such service in compliance with Section

2 of the General Terms and Conditions contained in the current Volume No. 1 of

Company's FERC Gas Tariff; and

WHEREAS, Company is willing to render such transportation service to Shipper

pursuant to the provisions of this Agreement and Subpart G of Part 284 of the

Commission's Regulations.

NOW, THEREFORE, the parties hereto agree as follows:

ARTICLE I

QUANTITY OF SERVICE

1.1 Subject to the terms and provisions of this Agreement and the General Terms

and Conditions applicable thereto, Shipper agrees to deliver, or cause to be delivered, to

Company at the Receipt Point(s) elected by Shipper upstream of the processing plant(s) the

quantity of gas (in Dth) that Company schedules at such point(s) for transportation

under this Agreement.
