FORM OF INTERACTIVE INTERNET WEBSITE AGREEMENT

13. Subject to the provisions of Paragraph 12 herein,

this Agreement shall be in effect as of the date

written above and shall continue unless and until

canceled by either party on ten (10) days' written

notice given to the other party prior to the end

of any calendar month to be effective at the end

of such month.

14. To the extent Shipper utilizes the Interactive

Internet Website to transmit and receive

dispatching notices under the General Terms and

Conditions of Transporter's FERC Gas Tariff, then

provisions of those General Terms and Conditions

shall be deemed to be satisfied and notice on the

Internet Web Site shall constitute valid notice

between the parties.

15. THE PROVISIONS OF THIS AGREEMENT SHALL BE GOVERNEDBY

THE LAWS OF THE STATE OF TEXAS.

16. Shipper acknowledges and agrees that (a) Transporter is

a Delaware limited liability company; (b) Shipper shall

have no recourse against any member of Transporter with

respect to Transporter's obligations under this

Agreement and its sole recourse shall be against the

assets of Transporter, irrespective of any failure to

comply with applicable law or any provision of this

Agreement; (c) no claim shall be made against any

member of Transporter under or in connection with this

Agreement; (d) Shipper shall have no right of

subrogation to any claim of Transporter for any Capital

Contribution from any member of Transporter; and (e)

this representation is made expressly for the benefit

of the members of Transporter.

17. Unless specifically provided in this Agreement, any

written notice or other communication shall be deemed

given when received by the party entitled to notice,

except that if received after 5:00 p.m. central time on

any day, such notice shall be deemed given on the next

business day. Notices shall be directed as follows:
