PRELIMINARY STATEMENT

Mississippi Canyon Gas Pipeline, LLC is a natural gas company

subject to the jurisdiction of the Federal Energy Regulatory

Commission for the limited purpose of constructing, operating,

and transporting natural gas through the Mississippi Canyon

Pipeline, a 30-inch, 45 mile natural gas pipeline and appurtenant

facilities extending from a platform in West Delta Block 143,

offshore Louisiana, to the Venice Gas Plant in Plaquemines

Parish, Louisiana.
