23. MISCELLANEOUS
23.1 It is understood that performance hereunder shall be subject to
all valid laws, orders, rules and regulations of duly
constituted governmental authorities having jurisdiction or
control of the matter related hereto. Should either of the
parties, by force of any such law, order, rule or regulation,
at any time during the term of the Service Agreement be ordered
or required to do any act inconsistent with the provisions
thereof, then for that period only during which the
requirements of such law, order, rule or regulation are
applicable the Service Agreement shall be deemed modified to
conform with the requirement of such law, order, rule or
regulation; provided, however, nothing herein shall alter,
modify or otherwise affect the respective rights of the parties
to cancel or terminate the Service Agreement under the terms
and conditions thereof.
23.2 The laws of the State of Texas shall govern the validity,
construction, interpretation and effect of any Service
Agreement hereunder.
23.3 Off-system Capacity
Sea Robin may, from time to time, enter into agreements with
other interstate or intrastate pipeline companies for capacity
(off-system capacity). In the event that Sea Robin acquires
off-system capacity, Sea Robin will provide service to Shippers
with the off-system capacity pursuant to Sea Robin's open
access tariff and subject to Sea Robin's Commission-approved
rates, as such tariff and rates may change from time to time.
For purposes of transactions entered into subject to this
Section 23.3, the "shipper must have title" requirement is
waived.
23.4 Emergency Contact and Constructive Notice
Sea Robin and Shipper shall specify in the Service Agreement
the name, telephone number, and, if available, facsimile
machine number, of up to three persons authorized to receive
dispatching and emergency notices on a twenty-four-hours-a-day
