PRELIMINARY STATEMENT

Sabine Pipe Line LLC (Sabine) is a limited

liability company, organized under the laws of the

State of Delaware, engaged in the business of

transporting natural gas in interstate commerce under

authorization granted by and subject to the

jurisdiction of the Federal Energy Regulatory

Commission. Sabine owns and operates a natural gas

transmission pipeline extending from its eastern

terminus at the Henry Hub, Vermilion Parish, Louisiana,

to its western terminus in Jefferson County, Texas.

Sabine also owns and operates natural gas transmission

pipelines located in the Federal Domain, Offshore

Louisiana.

The transportation of natural gas is and will be

undertaken by Sabine only under written agreement(s)

acceptable to Sabine upon consideration of existing

commitments, operating conditions and any other factors

deemed pertinent by Sabine.
