FORM OF MASTER SERVICE AGREEMENT FOR
CAPACITY RELEASE TRANSACTIONS
THIS AGREEMENT made this ______day of ___________, ____ by and between Petal Gas Storage,
L.L.C., a Delaware limited liability corporation (hereinafter called "Petal") and
__________________ (hereinafter called "Customer").
WHEREAS, Customer has requested that Petal provide transportation or storage service on
its behalf in the event that Customer is awarded by Petal capacity released by one or
more other firm storage or transportation customers of Petal pursuant to Section 4 of
Petal's Rate Schedule FSS, FSS-1 or FTS, as the case may be; and
WHEREAS, Petal agrees to provide such storage or transportation service subject to the
terms and conditions hereof.
WITNESSETH: That, in consideration of the mutual covenants herein contained, the parties
hereto agree that Petal will store or transport natural gas for Customer, on a firm
basis, during the term, at the rates and on the terms and conditions hereinafter
provided.
ARTICLE I - SCOPE
Customer and Petal acknowledge that this is a Master Service Agreement entered into
pursuant to Section 4.10 of Petal's Rate Schedule FSS and FSS-1 or Section 4.16 of
Petal's Rate Schedule FTS, as the case may be, for the purpose of facilitating the
capacity release process. Accordingly, Customer agrees to be bound by the terms of its
capacity release bid(s) if and when Petal awards Customer any such bid(s). Further, for
each release transaction performed pursuant to this Agreement, Petal and Customer agree
that, in addition to the terms and conditions of this Agreement, Customer's rights under
this Agreement shall not exceed those of the Releasing Customer. In accordance with
Section 4.4 (d) of Rate Schedules FSS, FSS-1 or FTS, Petal will post on its website the
information ofthe released capacity within one (1) business day after capacity has been
awarded ("Award Notice"). The terms of such Award Notice(s) are hereby incorporated by
reference in this Agreement. The acceptance of a capacity release award by Customer
shall not, in and of itself, relieve the releasing customer of further obligations under
its original Rate Schedule FSS, FSS-1 or FTS service agreement. The form of Award Notice
is attached as an appendix to this Agreement.
ARTICLE II - QUANTITIES
To be specified in the applicable Award Notice, not to exceed the quantities specified
in the original FSS, FSS-1 or FTS Customer's Agreement between Petal and the releasing
customer, less any quantities subject to another release agreement in effect.
