5. RESPONSIBILITY DURING TRANSPORTATION, STORAGE OR PARKING

As between Panhandle and Shipper, Panhandle shall be deemed to

be in control and possession of the Gas transported and/or stored

and/or parked hereunder only after the Gas is received at the Point

of Receipt, and before it is delivered to or for the account of

Shipper at the Point of Delivery. Shipper shall be deemed to be in

control and possession at all other times. Whichever of Panhandle or

Shipper is deemed to be in control and possession of the Gas shall be

responsible for and shall indemnify the other party with respect to

any losses, injuries, claims, liabilities or damages caused thereby

and occurring while the Gas is in its possession.
