GENERAL TERMS AND CONDITIONS

33. ELECTRONIC TRANSACTIONS CONTRACTING

Electronic transactions contracting, as posted on Company's

Internet web site, is available to parties provided that such party

shall have previously met the requirements of a Rate Schedule, if

applicable, and agreed to the terms and conditions of Company's

Master Electronic Transactions Agreement available on Company's

Internet web site.

34. OPERATIONAL BALANCING AGREEMENT POLICY

34.1 Purpose

The Operational Balancing Agreement (OBA), is intended to

govern the treatment of any differences between the actual

quantity of gas received/delivered at a Point of

Interconnection with Company's system and the quantity of

gas that was scheduled.

Company's OBA shall be based upon the NAESB WGQ Model OBA

whenever possible. [6.5.2] A form of Company's OBA is
