GENERAL TERMS AND CONDITIONS

14. WARRANTY AS TO DELIVERY RIGHT

Shipper warrants 1) its right to deliver to Company pursuant to and

for the purposes described in Shipper's Agreement, all gas that

Company receives from Shipper, 2) that it shall have good title to

all gas delivered to Company and 3) it shall indemnify and save

harmless Company against claims, liability, loss or damage which

Company may incur or suffer as a result of the lack of such right

or other breach of such warranty or any claim made against Company

by any Person asserting an interest in such gas.
