nonpayment will occur only in situations where other

attempts to obtain payment for past due accounts from

customer have failed, where a customer has filed for

bankruptcy, or where customer has failed to provide a

credit alternative as described in Section 41.

Company may terminate the Agreement with customer,

subject to the terms of the applicable Rate Schedule.

If after the thirty (30) day notice of service

suspension, customer has not paid in full the invoice

amount due, Company may then give notice to customer

and the FERC that if full payment of the invoice

amount due is not received within 15 days, Company

will terminate the Agreement.
