BETWEEN

MOJAVE PIPELINE COMPANY, having its principal office in the

__________, (hereinafter referred to as Transporter) and ________________

("Replacement Shipper") having its principal office in the ________________.

WHEREAS Replacement Shipper has obtained rights from Releasing

Shipper to released capacity on Transporter's pipeline and desires Transporter

to transport volumes of gas for it; and

WHEREAS Transporter is willing to do so subject to the terms and

conditions hereof and of its FERC Gas Tariff;

NOW, THEREFORE, the parties agree as follows:
